These Terms of Service ("Terms") govern your use of the SpotPass platform ("Service"), operated by SpotPass ("we", "us", or "our"). By creating an account or using our Service, you agree to be bound by these Terms.
SpotPass is a multi-tenant WiFi billing and access management platform that enables businesses ("Merchants") to monetize WiFi hotspots. The Service includes:
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use SpotPass. If registering on behalf of a business, you represent that you have the authority to bind that entity.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use at security@spotpass.io.
You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
SpotPass offers tiered subscription plans (Starter, Growth, Pro, Enterprise) with varying limits on routers, plans, sessions, and team members. Current pricing is displayed on our website and may be updated with 30 days' notice.
Subscriptions are billed on a recurring monthly basis. Payment is processed through the payment method on file. Failed payments will trigger a 7-day grace period, after which your account may be suspended.
Subscription fees are generally non-refundable. If you cancel mid-cycle, you will retain access until the end of your current billing period. Refund requests for exceptional circumstances may be submitted to billing@spotpass.io.
Payments processed through your configured gateway (Paystack or Flutterwave) are subject to the respective provider's transaction fees. SpotPass does not charge additional transaction fees on end-user payments in the current version.

The SpotPass platform, including its software, design, branding, and documentation, is owned by SpotPass and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
Content you upload (business name, logo, welcome text) remains your property. You grant us a license to display and use this content as necessary to provide the Service.
We strive to maintain high availability of the Service. However, we do not guarantee 100% uptime. Scheduled maintenance will be communicated in advance when possible. We are not liable for interruptions caused by factors beyond our reasonable control, including internet outages, power failures, or force majeure events.
To the maximum extent permitted by law:
You agree to indemnify and hold harmless SpotPass, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
You may cancel your account at any time through the dashboard settings or by contacting support. Cancellation takes effect at the end of your current billing period.
We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees (after the grace period), or engage in activities harmful to the Service or other users. We will provide reasonable notice unless immediate action is required.
Upon termination, your access to the dashboard will be revoked. End-user sessions that are already active will continue until their natural expiry. We will retain your data for the period specified in our Privacy Policy.
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Lagos, Nigeria.
Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days. If the dispute cannot be resolved through negotiation, either party may pursue mediation before resorting to litigation.
We may modify these Terms at any time. Material changes will be communicated via email to registered users at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
